Jennifer Ashley

Partner in technology and commercial transactions for companies in the information technology, cleantech and life sciences industries.  Jen has extensive experience in licensing, collaboration and other commercial transactions relating to the acquisition, development and commercialization of technology, products and services for both private and publicly-traded entities.  Prior to joining Gross Hartman, Jen was Director of Corporate Legal Affairs for Pharmion Corporation (Nasdaq: PHRM), continuing in that role following Pharmion's acquisition by Celgene Corporation (Nasdaq:  CELG) for $2.9 billion.  Jen was also a partner in a Denver-based corporate and securities boutique firm and an associate in the Technology Transactions and Life Sciences practice groups at Cooley LLP.  Prior to law school, Jen was a Research Associate at the University of Texas Southwestern Medical School, involved in research focused in the area of high throughput genome screening technology.  Jen earned a J.D., with honors, in 2000 from The University of Texas School of Law.  She received a B.A., magna cum laude, with a double major in Biological Sciences and Sociology from Southern Methodist University.


Carin Cutler

Carin Cutler is a partner specializing in corporate and securities law, and represents companies and investors in a full range of corporate transactions, including equity and debt financings by venture capital and strategic investors, M&A transactions, recapitalizations and general corporate matters. Carin advises public companies in equity offerings as well as on disclosure and reporting requirements, compliance with stock exchange rules, and corporate governance and securities law matters. Carin’s practice includes advising entrepreneurs on entity formation, founder issues, initial stock issuances, stock option plans, and seed and angel financings. Carin counsels clients in a range of industries, including life sciences, medical device, clean technology, software, data storage and aviation. Prior to joining Gross Hartman, Carin was a partner at Hogan Lovells, a large international law firm where she practiced for over ten years. Carin earned a J.D. in 1998 from the University of Colorado, where she was elected to the Order of the Coif and served as an Articles Editor for the University of Colorado Law Review. Carin received a B.A., with high honors, in 1992 from the University of Michigan.
Carin currently serves on the Boards of Directors of the Colorado BioScience Association and of the Davis Phinney Foundation, a non-profit organization based in Boulder, Colorado focused on improving the lives of individuals with Parkinson’s disease.

Steve Dupont

Partner specializing in the corporate and licensing needs of life science, medical device, biotechnology and biopharmaceutical companies, as well as other emerging technology entities.  Steve has extensive experience in the field of complex intellectual property licensing and strategic corporate alliances in the life sciences industry.  Most recently, Steve served as Vice President, General Counsel and Chief Compliance Officer at Lanx, Inc., a private medical device company.  Previously, Steve was the Executive Vice President of Corporate Development and General Counsel at Pharmion Corporation (Nasdaq: PHRM) and led the company through its acquisition by Celgene for $2.9 billion.  Prior to his in-house positions, Steve was a partner and head of the Colorado technology transactions practice at Cooley LLP.  Before law school, Steve was a process control engineer spending several years designing real-time computer-based process control systems in many industrial settings.  Steve earned a B.S.M.E. from Worcester Polytechnic Institute in 1981 and his J.D. with High Honors from Illinois Institute of Technology - Kent College of Law in 1993 where Steve graduated second in his class and was elected to the Order of the Coif.

Paul E. Gross

Paul Gross is a founding partner and the managing partner of Gross Hartman. Paul’s practice focuses on the representation of emerging technology and life sciences companies and the venture capital and private equity firms that invest in those companies. He counsels clients in the full range of corporate and securities matters, including public and private financing transactions, employee incentive programs, mergers and acquisitions, strategic corporate relationships and corporate governance.  Paul also has extensive experience in the formation of venture capital funds and regularly advises funds on maintenance and compliance issues. Prior to starting Gross Hartman, Paul was a partner with Cooley LLP, a major national law firm, from 1998 until March 2010. Before attending law school, Paul was an active duty Naval officer, serving in Explosive Ordnance Disposal teams and on minesweepers during Operation Desert Storm.  Paul attended the King Hall School of Law at the University of California, Davis, and graduated from the United States Naval Academy in 1987. Paul is a member and current President of the board of directors of the Emergency Family Assistance Association, a basic needs organization serving Boulder and Broomfield counties. 

Andy Hartman

Andy Hartman is a founding partner at Gross Hartman who has been in private practice for over twenty years representing emerging and consumer companies in transactional, intellectual property and disputed matters.  Prior to founding Gross Hartman, Andy was a partner and the head of the Cooley Litigation department in Colorado and head of the central states Trademark, Copyright & Advertising practice. Andy has assisted clients in various intellectual property, litigation, and transactional matters in Colorado and around the nation. Prior to Cooley, Andy was an associate and partner at Reed Smith/Sachnoff & Weaver in Chicago. Andy has assisted wide ranging clients from Facebook and eBay to IZZE Beverage Company and Coach leather goods in their intellectual property and other mission critical matters. Andy has engaged in active pro bono representation over the years including providing legal assistance to the Boulder Community Foundation, Moving to End Sexual Assault, the University of Colorado, the Dairy Center for the Performing Arts and the Frank Lloyd Wright Home and Studio Foundation.
Andy also runs Colorado Law’s Experiential Learning Program and has been an Adjunct Professor of Law since 2001, teaching Introduction to Trademark & Unfair Competition Law and Introduction to Copyright Law.  Andy attended Georgetown University Law Center in Washington, DC, and received a J.D. with honors in 1989. He did his undergraduate work at the University of Michigan, Ann Arbor, where he received an A.B. in 1986.

Nathan E. Seiler

Nathan Seiler is a partner at Gross Hartman who has been in private practice for the past ten years where he specializes in corporate and securities law, with an emphasis on the formation, financing and general representation of emerging growth companies and the representation of the investors involved with such companies.  Nathan’s practice includes the full range of corporate and securities matters and includes public and private financings, mergers and acquisitions, strategic relationships, corporate governance and securities law disclosure and compliance. He has represented publicly and privately held companies in a broad range of industries, including life sciences, medical devices, clean technologies, telecommunications, information technology and manufacturing. Nathan has spent the majority of his career in the Colorado office of Cooley LLP having practiced there from 2000-2003 and 2006-2010.  Prior to returning to Cooley in 2006, Nathan practiced at Baird Holm LLP, a regional Nebraska firm, and was a partner at Kendall, Koenig & Oelsner PC, a Denver-based corporate and securities boutique. Nathan graduated cum laude from Northwestern University School of Law in 2000, where he was elected to the Order of the Coif and served as an articles editor of the Northwestern University Law Review. He received a B.A., with high distinction, from the University of Nebraska-Lincoln in 1997, where he was elected to Phi Beta Kappa. Nathan is an active member of the American Bar Association and is an alum of the 2009 Leadership Boulder County Program.
